CLINICPASS is an online service that (1) allows CLINICPASS' salesperson members to schedule online appointments & report money spent on providers to comply with the Sunshine act requirements and (2) allows CLINICPASS' healthcare provider members to screen and track salesperson members who access their facilities for purposes of making sales of healthcare products. CLINICPASS provides a tool for clinics to verify amount spent/reported by sales representatives for purposes of the Sunshine Act. To this end, CLINICPASS' healthcare provider members can view profiles of the salesperson members. To enable all of CLINICPASS' members to reap the benefits of scheduling/requesting appointments, we request and display some personal information of CLINICPASS' salesperson members to CLINICPASS' healthcare provider members, which information allows our healthcare provider members to identify the salesperson members and make informed decisions regarding their business partners. CLINICPASS' salesperson members can change the portion of their profile information that they have supplied at any time; and, thus, they can control how other members and CLINICPASS communicates with them. INFORMATION COLLECTION AND USE BY CLINICPASS

CLINICPASS collects information submitted by salesperson members, such as name, email address and the identity of their employers, to authenticate salesperson members and to send them notifications relating to the services provided by CLINICPASS. CLINICPASS also collects other profile data, including, without limitation, job title, professional qualifications, vaccination records and customer comments, in order to allow healthcare provider members to find and communicate with salesperson members and other healthcare provider members.

CLINICPASS also logs non-personally-identifiable information, including, without limitation, IP address, profile information, aggregate user data and browser type, from members, other users and visitors to the CLINICPASS web site. This data is used to manage the web site, track usage and improve web site services. This non-personally-identifiable information may be shared with third-parties to provide more relevant services and advertisements to members. User IP addresses are recorded for security and monitoring purposes.

User profile information, including, without limitation, the pictures and names of salesperson members, is displayed in order to facilitate interaction between and among salesperson members and healthcare provider members on the CLINICPASS web site. Email addresses are used for purposes of sending notifications relating to the services and scheduling reminders provided by CLINICPASS. With the exception of allowing healthcare provider members to review salesperson members profiles, and unless a salesperson member otherwise consents to having his or her email address shared or displayed, a salesperson member's email address will not be shared or displayed to others. Healthcare provider members communicate with each other on the CLINICPASS web site through the CLINICPASS service without disclosing their email addresses. To facilitate searching for and reviewing the profile of salesperson members on the CLINICPASS web site, CLINICPASS allows healthcare provider members to search for salesperson members using first and last name, email address, the companies for which the salesperson members work, and the products and/or services of the companies for which the salesperson members work. CLINICPASS also may use a member's email address to send updates, a newsletter or other news relating to the services provided by CLINICPASS.

USE OF COOKIES

CLINICPASS uses cookies to store the preferences and record the session information of visitors to its web site for purposes of ensuring that visitors are not repeatedly offered the same advertisements and customizing newsletter, advertising and web page content based on browser type and user profile information. We do not link the information we store in cookies to any personally identifiable information you submit while on our site. You may be able to configure your browser to accept or reject all or some cookies, or notify you when a cookie is set. However, you must enable cookies from CLINICPASS in order to use most functions on the web site.

CORRECTING, UPDATING OR REMOVING INFORMATION

Salesperson members may modify or remove any of their personal information, other than their name, employer and score, at any time by logging into their account and accessing features such as Edit Profile and Account Info.

THIRD PARTY ADVERTISING. Advertisements appearing on this web site may be delivered to members and other users by CLINICPASS or one of its advertising partners. CLINICPASS' advertising partners may set cookies. These cookies allow the advertising partner's server to recognize your computer each time it sends you an online advertisement. In this way, the server may compile information about where you, or others who are using your computer, saw their advertisements and determine which advertisements are clicked on. This information allows an advertising partner's network to deliver targeted advertisements that they believe will be of most interest to you. This privacy statement covers the use of cookies by CLINICPASS and does not cover the use of cookies by any advertising partners of CLINICPASS.

SECURITY

CLINICPASS member accounts are secured by member-created passwords and are designed to be protected from outside access in order to keep member account information private. CLINICPASS takes measures to protect member information that is stored within its database. CLINICPASS restricts access for member information to those of its employees and contractors who need access to perform their job functions, such as CLINICPASS' customer service personnel and technical staff. Please note that CLINICPASS cannot guarantee the security of member account information in the event of illegal or unauthorized entry or use, hardware or software failure, and other factors that may compromise the security of member information. SHARING AND DISCLOSURE OF INFORMATION CLINICPASS COLLECTS

Except as otherwise described in this privacy statement, CLINICPASS will not disclose personal information to any third party unless we believe that disclosure is necessary: (1) to conform to legal requirements or to respond to a subpoena, search warrant or other legal process received by CLINICPASS, whether or not a response is required by applicable law; (2) to enforce the CLINICPASS terms of use or to otherwise protect CLINICPASS' rights; or (3) to protect the safety of members of the public and users of the services provided by CLINICPASS. If CLINICPASS believes it is necessary to disclose an individual's personal information, CLINICPASS will notify that individual of its intent to disclose the information when feasible. Notification will be made using information the individual provided to CLINICPASS. CLINICPASS reserves the right to transfer personal information to a successor in interest that acquires rights to that information as a result of the sale of CLINICPASS or substantially all of its assets to that successor in interest. CHANGES IN OUR PRIVACY POLICY

From time to time, CLINICPASS may make changes to its privacy policy. If CLINICPASS makes changes, it will post them on its web site to make users aware of what the changes are so users will always be aware of what information CLINICPASS collects, how CLINICPASS uses it, and when CLINICPASS may disclose it. A user is bound by any changes to the policy when the user accesses or uses the web site after those changes have been posted.
